1. Who we are and what this document covers
1.1 Capital Analytica ("Capital Analytica", "we", "us" or "our") is a trade name of [FULL LEGAL ENTITY NAME], a company organized under the laws of British Columbia. Established in 2018, we are headquartered in Vancouver, British Columbia, with team members in Toronto, Ontario and in England, United Kingdom.
1.2 We provide investor relations ("IR"), investor awareness, social media management, content production, community management and digital marketing services, primarily to publicly listed companies in the mining, exploration, energy and natural resources sectors (each a "Client" or "Featured Company").
1.3 This Disclosure, Disclaimer & Terms of Use (this "Agreement") applies to every website we operate, including capitalanalytica.com; every social media account, channel, group, server or profile we operate or manage on our own behalf or on behalf of a Client, including on X (Twitter), LinkedIn, Facebook, Instagram, YouTube, TikTok, Reddit, Discord, Telegram, Stocktwits, Stockhouse, InvestorHub and similar platforms; and every newsletter, email, article, video, podcast, interview, infographic, chart, post, reply or other material we create, publish or distribute (together, the "Content" and the "Platforms").
1.4 By accessing or using any Platform or Content, you agree to this Agreement. If you do not agree, do not use the Platforms or rely on the Content.
2. Paid and unpaid content
Every paid Client post is labelled in its first line. Content we publish for a Client begins with the disclosure "Posted on behalf of [Company]". That content is paid advertising: Capital Analytica is compensated by the Featured Company, has a direct financial conflict of interest, and the content should never be treated as independent, objective or unbiased.
2.1 Client Content. "Client Content" means any Content we create or distribute as part of a paid engagement. Every Client post we publish carries the disclosure "Posted on behalf of [Company]" (or equivalent wording naming the Featured Company) as its first line, before any other text, so that it is visible without expanding the post. Where a platform offers a paid-partnership or branded-content label, we may apply that label as well.
2.2 Unpaid Content. We also publish, less frequently, Content for which no one has paid us, including commentary on markets, commodities, the economy and the resource sector, and occasional posts about companies that are not current Clients ("Unpaid Content"). Unpaid Content does not carry the "Posted on behalf of" disclosure. If a post does not begin with that disclosure, Capital Analytica has not received compensation from the company it discusses for that post.
2.3 Conflicts in Unpaid Content. Unpaid Content can still be affected by our commercial interests, and you should read it with that in mind. In particular:
- commentary on a commodity, region or sector may indirectly benefit Clients exposed to it;
- a company discussed in Unpaid Content may be a former Client or may later become a Client;
- Capital Analytica or a Covered Person may hold securities of a company discussed in Unpaid Content, subject to the trading policy in Section 5.
We do not publish Unpaid Content about a company with which we are in active discussions about a paid engagement.
2.4 Our compensation is paid for awareness and marketing services. It is not contingent on the price, trading volume or performance of any Client's securities, and we do not accept compensation that is.
3. Not investment advice; not a registrant
3.1 Capital Analytica is not registered as an adviser, portfolio manager, investment fund manager, dealer, exempt market dealer, broker, investment adviser, broker-dealer or in any similar capacity with any securities regulatory authority in Canada, including the British Columbia Securities Commission and the Ontario Securities Commission; with the U.S. Securities and Exchange Commission, FINRA or any U.S. state regulator; with the Financial Conduct Authority in the United Kingdom; or with any other regulator in any jurisdiction.
3.2 All Content is provided for general information and marketing purposes only. It is impersonal and does not take into account your financial situation, investment objectives, risk tolerance, tax position or any other personal circumstance. Nothing in the Content is, or should be construed as, investment, financial, legal, tax or accounting advice, or a recommendation, endorsement or opinion that any security, commodity or strategy is suitable for you.
3.3 No statement in the Content is a recommendation to buy, sell or hold any security. Words such as "buy", "undervalued", "opportunity", "re-rate", "catalyst" or price and valuation commentary reflect marketing or general commentary only.
3.4 Before making any investment decision, you should read the Featured Company's continuous disclosure filings (available on SEDAR+ at sedarplus.ca and, where applicable, on EDGAR at sec.gov), conduct your own independent due diligence, and consult a registered investment professional and other qualified advisers.
3.5 You are solely responsible for your investment decisions and for any gains or losses. Capital Analytica, its directors, officers, employees, contractors and agents accept no responsibility for any decision made on the basis of the Content.
4. Compensation
4.1 Capital Analytica is compensated by Featured Companies for investor relations and marketing services, generally through cash fees paid monthly or for a fixed term.
4.2 Where required by stock exchange policy (including TSX Venture Exchange Policy 3.4 and the policies of the Canadian Securities Exchange) or applicable securities law, our Clients announce their engagement of Capital Analytica by news release, which typically sets out the term of the engagement and the compensation payable.
4.3 [CHOOSE ONE AND DELETE THE OTHER: "Capital Analytica does not accept shares, options, warrants or any other securities as compensation." OR "If we receive shares, options, warrants or other securities as compensation, we disclose the number, type, price and any resale restrictions in the relevant Client Content."]
4.4 [CHOOSE ONE AND DELETE THE OTHER: "We accept compensation only from the Featured Company itself." OR "If anyone other than the Featured Company pays us in connection with Content about that company, we identify that payer in the relevant Client Content."]
4.5 The amount and form of compensation for any current or past engagement is available on request by emailing info@capitalanalytica.com.
4.6 United States. For the purposes of Section 17(b) of the U.S. Securities Act of 1933, Client Content is published in exchange for consideration received from the Featured Company, as identified in the first-line disclosure of each Client post.
5. Securities ownership and trading policy
5.1 Capital Analytica maintains a written trading policy that applies to the company, its directors, officers, employees and contractors who create, approve or publish Content, and to accounts they control or in which they hold a beneficial interest (together, "Covered Persons").
5.2 Covered Persons may not buy, sell, short, or trade options or other derivatives on the securities of a Featured Company at any time during the engagement and for thirty (30) days after it ends.
5.3 Covered Persons may not trade any security in a manner that takes advantage of Content before it is published, and may not trade within seventy-two (72) hours before or after publishing Content about any issuer, whether or not it is a Client.
5.4 Securities of a Featured Company that a Covered Person held before the engagement began will not be sold during the engagement or the post-engagement period in Section 5.2.
5.5 Capital Analytica does not engage in "scalping" (recommending or promoting a security while intending to sell it), coordinated trading, wash trading, or any activity intended to artificially affect the price or trading volume of a security, and we do not accept engagements that ask us to do so.
5.6 Guest contributors, interviewees and members of communities we moderate may hold positions in securities discussed and are not bound by this policy. Their views are their own (see Section 10).
6. How our content is prepared
6.1 Sources. Client Content is based primarily on information supplied by the Featured Company, including its news releases, technical reports, financial statements, management's discussion and analysis, corporate presentations and interviews with its management. We may also use third-party market data, commodity prices, charts and news sources we believe to be reliable.
6.2 No independent verification. We do not audit, independently verify or perform due diligence on the information Clients provide to us, and we cannot guarantee its accuracy or completeness. Any inaccuracy in a Client's own disclosure may be carried into our Content.
6.3 Client review. Featured Companies may review, edit and approve Content about them before it is published. You should therefore treat Client Content as reflecting the Featured Company's own messaging.
6.4 Point in time. Content speaks only as of the date it is published. Prices, resources, results, financings and other facts change, and we have no obligation to update or remove past Content. Always check the Featured Company's most recent filings.
6.5 Summaries and selection. Content is necessarily selective and summarized. It highlights information the Featured Company considers favourable and may omit material risks, negative information or qualifications set out in the company's full disclosure.
6.6 Charts and data. Charts, price levels, technical analysis and comparisons are illustrative. Past performance, including historical share prices and results achieved by other companies, is not indicative of future results.
7. Mining, oil and gas technical information
7.1 No one at Capital Analytica is acting as a "qualified person" under National Instrument 43-101 Standards of Disclosure for Mineral Projects, or as a "qualified reserves evaluator or auditor" under National Instrument 51-101 Standards of Disclosure for Oil and Gas Activities, in preparing Content.
7.2 Scientific and technical information in Client Content (including drill results, assays, grades, mineral resource and reserve estimates, metallurgical results, economic study outputs such as NPV, IRR, payback, capital and operating costs, and oil and gas reserves, resources, flow rates and well results) is taken from the Featured Company's public disclosure, which was reviewed and approved by that company's qualified person or evaluator. Refer to the original disclosure for the qualified person's name, data verification, QA/QC procedures, assumptions and limitations.
7.3 Mineral resources that are not mineral reserves do not have demonstrated economic viability. Inferred mineral resources are subject to a high degree of geological uncertainty. Preliminary economic assessments are preliminary in nature and include inferred resources that are too speculative to have economic considerations applied to them, and there is no certainty that a PEA will be realized.
7.4 Results from nearby or "analogous" properties, historical estimates and comparisons to other deposits or producers are not necessarily indicative of mineralization or results on a Featured Company's property. Historical estimates have not been verified as current resources unless the Featured Company says so.
7.5 Readers in the United States should note that Canadian disclosure standards for mineral and oil and gas projects differ from SEC requirements, and information in Content may not be comparable to disclosure by U.S. reporting companies.
8. Forward-looking information
8.1 Content may contain "forward-looking information" and "forward-looking statements" within the meaning of applicable securities laws, including statements about exploration and drilling plans, anticipated results, resource growth, project development, permitting, production, financings, acquisitions, commodity prices, market conditions, catalysts, timelines and the future share price or valuation of any company. Such statements are often identified by words such as "expects", "anticipates", "plans", "targets", "potential", "could", "may", "will", "upside" and similar expressions.
8.2 Forward-looking statements are based on assumptions, estimates and opinions that we or the Featured Company believe reasonable at the time, including assumptions about commodity prices, the availability of financing, permitting, geological interpretation and general economic conditions. They involve known and unknown risks and uncertainties that could cause actual results to differ materially, including exploration risk, metallurgical and technical risk, commodity price volatility, currency fluctuation, financing and dilution risk, permitting and regulatory risk, title and Indigenous consultation matters, environmental risk, geopolitical risk, key-person risk and general market conditions, as well as the risk factors in each Featured Company's public filings.
8.3 Undue reliance should not be placed on forward-looking statements. Neither Capital Analytica nor any Featured Company undertakes to update them, except as required by law.
9. Risks of investing in junior issuers
Most of our Clients are early-stage exploration, development or emerging companies. Investing in them carries a high degree of risk, including that:
- many have no revenue, no history of profitable operations and no assurance that their projects will ever become economic mines or producing assets;
- they generally depend on equity financing, which can substantially dilute existing shareholders and may not be available on acceptable terms or at all;
- their securities can be thinly traded and highly volatile, and you may be unable to sell when you wish or at the price you want;
- securities issued in private placements may become freely tradable after statutory hold periods, which can increase selling pressure;
- promotional and awareness activity, including ours, can increase attention and trading volume for a period, and prices may fall when that activity ends;
- they are exposed to commodity prices, jurisdictional, permitting, environmental, social and political risks outside their control.
You could lose all of your investment. Only invest money you can afford to lose, and diversify.
10. Social media, affiliated accounts and online communities
10.1 Accounts we operate. We operate our own branded accounts and may operate, manage or post to accounts on behalf of Clients. Where we post on a Client's own account, that account belongs to the Client and the Content is the Client's communication.
10.2 Personnel accounts. Our directors, officers, employees and contractors may maintain personal social media accounts. When any of them publishes Content about a Client as part of an engagement, that Content is Client Content subject to this Agreement and carries the first-line disclosure described in Section 2.1.
10.3 Third-party creators. We may engage independent writers, newsletters, influencers, video creators or other third parties to create or distribute Content about Clients. We require them, by contract, to clearly disclose that they are compensated and to comply with applicable law and platform rules.
10.4 Community spaces. We may moderate investor communities, chat groups and comment sections. Posts by community members, guests and other users are their own views, are not reviewed or endorsed by us, and may be made by people who hold positions in the securities discussed. We may remove posts that are abusive, misleading, spam or in breach of platform rules, but we have no obligation to monitor or correct user posts.
10.5 Engagement metrics. We do not purchase fake followers, bots or artificial engagement for any account, and we do not use undisclosed accounts or personas to post about Clients.
10.6 Platform rules. Each platform's own terms, branded-content and paid-partnership policies also apply. Labels a platform adds or omits do not change the paid nature of Client Content.
11. Use of artificial intelligence
11.1 We use software tools, including generative artificial intelligence, to assist with research, drafting, summarizing, translation, image and video creation and scheduling. A member of our team reviews AI-assisted Content before it is published, and Client Content remains subject to Client review as described in Section 6.
11.2 AI tools can produce errors or omissions. AI-assisted Content is subject to every disclaimer in this Agreement, and you should verify any fact against the Featured Company's original disclosure.
11.3 We do not use AI to create images, audio or video that depict real people saying or doing things they did not say or do, or synthetic visuals presented as real drill core, site photographs or other factual evidence, unless they are clearly labelled as illustrative.
12. Jurisdictional notices
Canada
Content is intended to comply with applicable Canadian securities laws and with guidance from the Canadian Securities Administrators on promotional activities, including CSA Staff Notice 51-356 Problematic Promotional Activities by Issuers. Content is not an offering document and has not been reviewed by any securities regulator.
United States
Content is published in reliance on the disclosures in Sections 2 and 4 for the purposes of Section 17(b) of the U.S. Securities Act of 1933 and is intended to meet the U.S. Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255). Securities of some Featured Companies may not be registered under U.S. securities laws and may be subject to restrictions on purchase or resale by U.S. persons.
United Kingdom
Content has not been approved by a person authorised by the Financial Conduct Authority for the purposes of section 21 of the Financial Services and Markets Act 2000. In the United Kingdom, Content is directed only at persons to whom it may lawfully be communicated, such as investment professionals, certified high net worth individuals and certified or self-certified sophisticated investors, and must not be acted on by any other person.
Other jurisdictions
Content is not directed at any person in any jurisdiction where its publication or availability would be unlawful. It is your responsibility to ensure that viewing the Content and investing in any Featured Company is lawful where you live.
13. No offer or solicitation
13.1 Nothing in the Content is an offer to sell, or a solicitation of an offer to buy, any security in any jurisdiction. Any offering of securities by a Featured Company is made only by that company through its own offering documents and in compliance with applicable law.
13.2 Capital Analytica does not take part in selling securities, does not receive commissions or finder's fees on financings, and does not refer investors to financings. Where a Featured Company is undertaking a distribution of securities, we will comply with any restrictions on promotional activity that apply during that distribution.
14. Accuracy, corrections and complaints
14.1 We try to get facts right. If you believe any Content is inaccurate, misleading or missing a required disclosure, email info@capitalanalytica.com with the subject line "Correction request" and a link to the Content.
14.2 We will review each request in good faith and, where we agree a material error was made, correct, clarify or remove the Content and, where practical, note the correction.
14.3 Nothing in this Section limits your right to contact a securities regulator. In British Columbia, you can contact the British Columbia Securities Commission at bcsc.bc.ca.
15. Intellectual property and permitted use
15.1 The Platforms and Content, including text, graphics, logos, video, audio, data compilations and software, are owned by Capital Analytica, its Clients or their licensors and are protected by copyright, trademark and other laws. "Capital Analytica" and our logos are our trademarks.
15.2 You may view, share, and link to Content for personal, non-commercial purposes. You may quote reasonable excerpts provided that you credit Capital Analytica (or the named third-party source), keep any copyright notice and the paid-promotion disclosure attached to the excerpt, and link back to the original Content.
15.3 You may not remove or obscure disclosures; republish Client Content in a way that hides its paid nature; edit Content in a way that changes its meaning; use Content to imply that Capital Analytica endorses you or your product; or scrape, frame, resell or create derivative databases from Content without our written consent.
15.4 Third-party trademarks, logos and names belong to their owners and are used for identification only.
16. Third-party sites and service providers
16.1 Platforms may contain links to websites, filings, data, videos and services operated by others, including Featured Companies. We do not control and are not responsible for their content, accuracy, availability, security or privacy practices, and linking to them does not mean we endorse them. Your use of them is governed by their own terms.
16.2 We use third-party service providers for hosting, analytics, scheduling, email delivery, payments and similar functions. We are not liable for their acts or omissions to the extent permitted by law.
17. Disclaimer of warranties
The Platforms and Content are provided "as is" and "as available", with all faults and without warranty of any kind. To the fullest extent permitted by law, Capital Analytica disclaims all warranties, express, implied or statutory, including warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Platforms will be uninterrupted, secure or free of errors, viruses or other harmful components. No warranty is given as to any investment result, return or performance.
18. Limitation of liability
18.1 To the fullest extent permitted by law, neither Capital Analytica nor its affiliates, or their respective directors, officers, employees, contractors, agents, licensors or Clients, will be liable for any direct, indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, trading losses, loss of investment, loss of data or loss of goodwill, arising out of or relating to the Platforms, the Content or this Agreement, however caused and on any theory of liability, even if advised of the possibility of such damages.
18.2 If liability cannot be excluded, our total aggregate liability to you for all claims is limited to the greater of (a) the amount you paid to Capital Analytica, if any, in the twelve months before the claim arose and (b) CAD $100.
18.3 Any claim against us must be commenced within one (1) year after the cause of action arises, or it is permanently barred, to the extent permitted by law.
18.4 Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you. Nothing in this Agreement excludes liability that cannot be excluded by law, including for fraud.
19. Indemnification
You agree to indemnify, defend and hold harmless Capital Analytica and its affiliates and their respective directors, officers, employees, contractors and agents from any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of your breach of this Agreement, your misuse of the Platforms or Content, your violation of any law or the rights of any third party, or any Content you post to a Platform. This obligation survives termination of this Agreement and your use of the Platforms.
20. Privacy
We collect and handle personal information in accordance with applicable privacy law, including British Columbia's Personal Information Protection Act and, where applicable, Canada's Personal Information Protection and Electronic Documents Act and the UK GDPR. If you subscribe to our communications, you can unsubscribe at any time using the link in any email.
21. Governing law and venue
21.1 This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules.
21.2 You agree to the exclusive jurisdiction of the courts of British Columbia sitting in Vancouver for any dispute arising out of or relating to this Agreement, the Platforms or the Content, and you waive any objection based on inconvenient forum.
21.3 To the extent permitted by law, any dispute will be resolved on an individual basis, and you waive any right to bring or take part in a class or representative action against Capital Analytica.
22. General terms
22.1 Changes. We may update this Agreement at any time by posting a revised version with a new effective date. The version in effect when you access Content applies. Material changes to our compensation or trading policies will be noted at the top of this page for at least thirty (30) days. Your continued use of the Platforms after a change means you accept it.
22.2 Changes to services. We may modify, suspend or discontinue any Platform or Content at any time without notice or liability.
22.3 Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions remain in full force.
22.4 No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
22.5 Entire agreement. This Agreement is the entire agreement between you and Capital Analytica about the Platforms and Content and supersedes all prior versions. Separate written agreements between Capital Analytica and its Clients govern those engagements and are not affected by this Agreement.
22.6 Language. The parties have required that this Agreement be drawn up in English. Les parties ont exigé que la présente convention soit rédigée en anglais.

1. Who we are and what this document covers
1.1 Capital Analytica ("Capital Analytica", "we", "us" or "our") is a trade name of [FULL LEGAL ENTITY NAME], a company organized under the laws of British Columbia. Established in 2018, we are headquartered in Vancouver, British Columbia, with team members in Toronto, Ontario and in England, United Kingdom.
1.2 We provide investor relations ("IR"), investor awareness, social media management, content production, community management and digital marketing services, primarily to publicly listed companies in the mining, exploration, energy and natural resources sectors (each a "Client" or "Featured Company").
1.3 This Disclosure, Disclaimer & Terms of Use (this "Agreement") applies to every website we operate, including capitalanalytica.com; every social media account, channel, group, server or profile we operate or manage on our own behalf or on behalf of a Client, including on X (Twitter), LinkedIn, Facebook, Instagram, YouTube, TikTok, Reddit, Discord, Telegram, Stocktwits, Stockhouse, InvestorHub and similar platforms; and every newsletter, email, article, video, podcast, interview, infographic, chart, post, reply or other material we create, publish or distribute (together, the "Content" and the "Platforms").
1.4 By accessing or using any Platform or Content, you agree to this Agreement. If you do not agree, do not use the Platforms or rely on the Content.
2. Paid and unpaid content
Every paid Client post is labelled in its first line. Content we publish for a Client begins with the disclosure "Posted on behalf of [Company]". That content is paid advertising: Capital Analytica is compensated by the Featured Company, has a direct financial conflict of interest, and the content should never be treated as independent, objective or unbiased.
2.1 Client Content. "Client Content" means any Content we create or distribute as part of a paid engagement. Every Client post we publish carries the disclosure "Posted on behalf of [Company]" (or equivalent wording naming the Featured Company) as its first line, before any other text, so that it is visible without expanding the post. Where a platform offers a paid-partnership or branded-content label, we may apply that label as well.
2.2 Unpaid Content. We also publish, less frequently, Content for which no one has paid us, including commentary on markets, commodities, the economy and the resource sector, and occasional posts about companies that are not current Clients ("Unpaid Content"). Unpaid Content does not carry the "Posted on behalf of" disclosure. If a post does not begin with that disclosure, Capital Analytica has not received compensation from the company it discusses for that post.
2.3 Conflicts in Unpaid Content. Unpaid Content can still be affected by our commercial interests, and you should read it with that in mind. In particular:
We do not publish Unpaid Content about a company with which we are in active discussions about a paid engagement.
2.4 Our compensation is paid for awareness and marketing services. It is not contingent on the price, trading volume or performance of any Client's securities, and we do not accept compensation that is.
3. Not investment advice; not a registrant
3.1 Capital Analytica is not registered as an adviser, portfolio manager, investment fund manager, dealer, exempt market dealer, broker, investment adviser, broker-dealer or in any similar capacity with any securities regulatory authority in Canada, including the British Columbia Securities Commission and the Ontario Securities Commission; with the U.S. Securities and Exchange Commission, FINRA or any U.S. state regulator; with the Financial Conduct Authority in the United Kingdom; or with any other regulator in any jurisdiction.

4. Compensation
4.1 Capital Analytica is compensated by Featured Companies for investor relations and marketing services, generally through cash fees paid monthly or for a fixed term.
4.2 Where required by stock exchange policy (including TSX Venture Exchange Policy 3.4 and the policies of the Canadian Securities Exchange) or applicable securities law, our Clients announce their engagement of Capital Analytica by news release, which typically sets out the term of the engagement and the compensation payable.

4.6 United States. For the purposes of Section 17(b) of the U.S. Securities Act of 1933, Client Content is published in exchange for consideration received from the Featured Company, as identified in the first-line disclosure of each Client post.
5. Securities ownership and trading policy
5.1 Capital Analytica maintains a written trading policy that applies to the company, its directors, officers, employees and contractors who create, approve or publish Content, and to accounts they control or in which they hold a beneficial interest (together, "Covered Persons").
5.2 Covered Persons may not buy, sell, short, or trade options or other derivatives on the securities of a Featured Company at any time during the engagement and for thirty (30) days after it ends.
5.3 Covered Persons may not trade any security in a manner that takes advantage of Content before it is published, and may not trade within seventy-two (72) hours before or after publishing Content about any issuer, whether or not it is a Client.
5.4 Securities of a Featured Company that a Covered Person held before the engagement began will not be sold during the engagement or the post-engagement period in Section 5.2.
5.5 Capital Analytica does not engage in "scalping" (recommending or promoting a security while intending to sell it), coordinated trading, wash trading, or any activity intended to artificially affect the price or trading volume of a security, and we do not accept engagements that ask us to do so.
5.6 Guest contributors, interviewees and members of communities we moderate may hold positions in securities discussed and are not bound by this policy. Their views are their own (see Section 10).
6. How our content is prepared
6.1 Sources. Client Content is based primarily on information supplied by the Featured Company, including its news releases, technical reports, financial statements, management's discussion and analysis, corporate presentations and interviews with its management. We may also use third-party market data, commodity prices, charts and news sources we believe to be reliable.
6.2 No independent verification. We do not audit, independently verify or perform due diligence on the information Clients provide to us, and we cannot guarantee its accuracy or completeness. Any inaccuracy in a Client's own disclosure may be carried into our Content.
6.3 Client review. Featured Companies may review, edit and approve Content about them before it is published. You should therefore treat Client Content as reflecting the Featured Company's own messaging.
6.4 Point in time. Content speaks only as of the date it is published. Prices, resources, results, financings and other facts change, and we have no obligation to update or remove past Content. Always check the Featured Company's most recent filings.
6.5 Summaries and selection. Content is necessarily selective and summarized. It highlights information the Featured Company considers favourable and may omit material risks, negative information or qualifications set out in the company's full disclosure.
6.6 Charts and data. Charts, price levels, technical analysis and comparisons are illustrative. Past performance, including historical share prices and results achieved by other companies, is not indicative of future results.
7. Mining, oil and gas technical information
7.1 No one at Capital Analytica is acting as a "qualified person" under National Instrument 43-101 Standards of Disclosure for Mineral Projects, or as a "qualified reserves evaluator or auditor" under National Instrument 51-101 Standards of Disclosure for Oil and Gas Activities, in preparing Content.

10. Social media, affiliated accounts and online communities
10.1 Accounts we operate. We operate our own branded accounts and may operate, manage or post to accounts on behalf of Clients. Where we post on a Client's own account, that account belongs to the Client and the Content is the Client's communication.
10.2 Personnel accounts. Our directors, officers, employees and contractors may maintain personal social media accounts. When any of them publishes Content about a Client as part of an engagement, that Content is Client Content subject to this Agreement and carries the first-line disclosure described in Section 2.1.
10.3 Third-party creators. We may engage independent writers, newsletters, influencers, video creators or other third parties to create or distribute Content about Clients. We require them, by contract, to clearly disclose that they are compensated and to comply with applicable law and platform rules.
10.4 Community spaces. We may moderate investor communities, chat groups and comment sections. Posts by community members, guests and other users are their own views, are not reviewed or endorsed by us, and may be made by people who hold positions in the securities discussed. We may remove posts that are abusive, misleading, spam or in breach of platform rules, but we have no obligation to monitor or correct user posts.
10.5 Engagement metrics. We do not purchase fake followers, bots or artificial engagement for any account, and we do not use undisclosed accounts or personas to post about Clients.
10.6 Platform rules. Each platform's own terms, branded-content and paid-partnership policies also apply. Labels a platform adds or omits do not change the paid nature of Client Content.
11. Use of artificial intelligence
11.1 We use software tools, including generative artificial intelligence, to assist with research, drafting, summarizing, translation, image and video creation and scheduling. A member of our team reviews AI-assisted Content before it is published, and Client Content remains subject to Client review as described in Section 6.
11.2 AI tools can produce errors or omissions. AI-assisted Content is subject to every disclaimer in this Agreement, and you should verify any fact against the Featured Company's original disclosure.
11.3 We do not use AI to create images, audio or video that depict real people saying or doing things they did not say or do, or synthetic visuals presented as real drill core, site photographs or other factual evidence, unless they are clearly labelled as illustrative.
12. Jurisdictional notices
Canada
Content is intended to comply with applicable Canadian securities laws and with guidance from the Canadian Securities Administrators on promotional activities, including CSA Staff Notice 51-356 Problematic Promotional Activities by Issuers. Content is not an offering document and has not been reviewed by any securities regulator.
United States
Content is published in reliance on the disclosures in Sections 2 and 4 for the purposes of Section 17(b) of the U.S. Securities Act of 1933 and is intended to meet the U.S. Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255). Securities of some Featured Companies may not be registered under U.S. securities laws and may be subject to restrictions on purchase or resale by U.S. persons.
United Kingdom

13. No offer or solicitation

14. Accuracy, corrections and complaints
14.1 We try to get facts right. If you believe any Content is inaccurate, misleading or missing a required disclosure, email info@capitalanalytica.com with the subject line "Correction request" and a link to the Content.
14.2 We will review each request in good faith and, where we agree a material error was made, correct, clarify or remove the Content and, where practical, note the correction.
14.3 Nothing in this Section limits your right to contact a securities regulator. In British Columbia, you can contact the British Columbia Securities Commission at bcsc.bc.ca.
15. Intellectual property and permitted use
15.1 The Platforms and Content, including text, graphics, logos, video, audio, data compilations and software, are owned by Capital Analytica, its Clients or their licensors and are protected by copyright, trademark and other laws. "Capital Analytica" and our logos are our trademarks.
15.2 You may view, share, and link to Content for personal, non-commercial purposes. You may quote reasonable excerpts provided that you credit Capital Analytica (or the named third-party source), keep any copyright notice and the paid-promotion disclosure attached to the excerpt, and link back to the original Content.
15.3 You may not remove or obscure disclosures; republish Client Content in a way that hides its paid nature; edit Content in a way that changes its meaning; use Content to imply that Capital Analytica endorses you or your product; or scrape, frame, resell or create derivative databases from Content without our written consent.
15.4 Third-party trademarks, logos and names belong to their owners and are used for identification only.
16. Third-party sites and service providers
16.1 Platforms may contain links to websites, filings, data, videos and services operated by others, including Featured Companies. We do not control and are not responsible for their content, accuracy, availability, security or privacy practices, and linking to them does not mean we endorse them. Your use of them is governed by their own terms.
16.2 We use third-party service providers for hosting, analytics, scheduling, email delivery, payments and similar functions. We are not liable for their acts or omissions to the extent permitted by law.
17. Disclaimer of warranties
The Platforms and Content are provided "as is" and "as available", with all faults and without warranty of any kind. To the fullest extent permitted by law, Capital Analytica disclaims all warranties, express, implied or statutory, including warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Platforms will be uninterrupted, secure or free of errors, viruses or other harmful components. No warranty is given as to any investment result, return or performance.
18. Limitation of liability
18.1 To the fullest extent permitted by law, neither Capital Analytica nor its affiliates, or their respective directors, officers, employees, contractors, agents, licensors or Clients, will be liable for any direct, indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, trading losses, loss of investment, loss of data or loss of goodwill, arising out of or relating to the Platforms, the Content or this Agreement, however caused and on any theory of liability, even if advised of the possibility of such damages.
18.2 If liability cannot be excluded, our total aggregate liability to you for all claims is limited to the greater of (a) the amount you paid to Capital Analytica, if any, in the twelve months before the claim arose and (b) CAD $100.
18.3 Any claim against us must be commenced within one (1) year after the cause of action arises, or it is permanently barred, to the extent permitted by law.
18.4 Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you. Nothing in this Agreement excludes liability that cannot be excluded by law, including for fraud.
19. Indemnification
You agree to indemnify, defend and hold harmless Capital Analytica and its affiliates and their respective directors, officers, employees, contractors and agents from any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of your breach of this Agreement, your misuse of the Platforms or Content, your violation of any law or the rights of any third party, or any Content you post to a Platform. This obligation survives termination of this Agreement and your use of the Platforms.
20. Privacy
We collect and handle personal information in accordance with applicable privacy law, including British Columbia's Personal Information Protection Act and, where applicable, Canada's Personal Information Protection and Electronic Documents Act and the UK GDPR. If you subscribe to our communications, you can unsubscribe at any time using the link in any email.
21. Governing law and venue
21.1 This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules.
21.2 You agree to the exclusive jurisdiction of the courts of British Columbia sitting in Vancouver for any dispute arising out of or relating to this Agreement, the Platforms or the Content, and you waive any objection based on inconvenient forum.
21.3 To the extent permitted by law, any dispute will be resolved on an individual basis, and you waive any right to bring or take part in a class or representative action against Capital Analytica.
22. General terms
22.1 Changes. We may update this Agreement at any time by posting a revised version with a new effective date. The version in effect when you access Content applies. Material changes to our compensation or trading policies will be noted at the top of this page for at least thirty (30) days. Your continued use of the Platforms after a change means you accept it.
22.2 Changes to services. We may modify, suspend or discontinue any Platform or Content at any time without notice or liability.
22.3 Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions remain in full force.
22.4 No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
22.5 Entire agreement. This Agreement is the entire agreement between you and Capital Analytica about the Platforms and Content and supersedes all prior versions. Separate written agreements between Capital Analytica and its Clients govern those engagements and are not affected by this Agreement.
22.6 Language. The parties have required that this Agreement be drawn up in English. Les parties ont exigé que la présente convention soit rédigée en anglais.
